Management’s Discussion and Analysis
Merrill Lynch & Co., Inc. ("ML & Co." and, together with its subsidiaries and affiliates, "Merrill
Lynch") is a holding company that, through its subsidiaries and affiliates, provides investment,
financing, advisory, insurance, and related services worldwide. The financial services industry, in
which Merrill Lynch is a leading participant, is highly competitive and highly regulated. This industry and the global financial markets are influenced by numerous uncontrollable factors. These factors include economic conditions, monetary and fiscal policies, the liquidity of global markets,
international and regional political events, regulatory developments, the competitive environment,
and investor sentiment. These conditions or events can significantly affect the volatility of financial
markets. While greater volatility may increase risk, it may also increase order flow and revenues in
businesses such as trading and brokerage. Revenues and net earnings may vary significantly from
period to period due to these unpredictable factors and the resulting market volatility and volumes.
The financial services industry continues to be affected by the intensifying competitive environment, as demonstrated by consolidation through mergers and acquisitions and competition
from new entrants as well as established competitors using the Internet or other technology to
establish or expand their businesses, and diminishing margins in many mature products and
services. The Gramm-Leach-Bliley Act, passed in 1999, which repealed U.S. laws that separated
commercial banking, investment banking and insurance activities, together with changes to the
industry resulting from previous reforms, has increased the number of companies competing for a
similar customer base.
In addition to providing historical information, Merrill Lynch may make or publish forward-looking statements about management expectations, strategic objectives, business prospects,
anticipated financial performance, and other similar matters. A variety of factors, many of which
are beyond its control, affect the operations, performance, business strategy, and results of Merrill
Lynch and could cause actual results and experience to differ materially from the expectations and
objectives expressed in these statements. These factors include, but are not limited to, the factors
listed in the previous two paragraphs, as well as actions and initiatives taken by both current and
potential competitors, the effect of current, pending, and future legislation and regulation both in
the United States and throughout the world, and the other risks detailed in Merrill Lynch’s Form
10-K and in the following sections.
Merrill Lynch undertakes no responsibility to update or revise any forward-looking statements.
